Amendments to PC Optimum™ Program Terms and Conditions: effective October 31, 2024. The PC Optimum™ Program Terms and Conditions have changed. Please review the below carefully for the full version of the amended PC Optimum™ Program Terms and Conditions.

1. What is the PC Optimum™ Program?

The PC Optimum™ program (“Program”) is a rewards program offered by President’s Choice Services Inc. (“PCSI”, “our”, “we” and “us”) under these terms and conditions (“Terms and Conditions”) available through participating retail locations and websites operating under the Loblaws® Inc. and Shoppers Drug Mart® Inc. banners (“Participating Stores”), and certain other locations or third party Program participants designated by PCSI in its sole discretion from time to time (“Program Participants”). Participating Stores include stores such as Loblaws®, Real Canadian Superstore®, No Frills®, Shoppers Drug Mart®, Pharmaprix® and BeautyBOUTIQUE by Shoppers Drug Mart™. The Program gives you the opportunity to earn and redeem PC Optimum™ points and rewards at Participating Stores or with Program Participants that offer earning and redemption.

To find out if a store location or website is a Participating Store, and for a list of Program Participants, please access our FAQ page online at www.pcoptimum.ca. The list of Participating Stores and Program Participants may change from time to time.

These Terms and Conditions replace any other terms and conditions that we may have provided to you and govern your participation as a member in the Program. By participating in the Program, you (or your parent or legal guardian on your behalf, as the case may be), accept and agree to these Terms and Conditions, including as they may be amended from time to time.

2. How Can I Participate?

Membership is free and you do not need to buy anything to open a PC Optimum™ account (“Account”). To participate, you must be a Canadian resident, 14 years of age or older, and must obtain the consent of your parent or legal guardian if you are under the age of majority in the province or territory in which you reside, and such consent is a requirement in the jurisdiction of your residence. Program membership is not available to corporations, businesses, charities, partnerships, enterprises or anyone other than an individual, unless written approval is received in advance from PCSI in its sole discretion. You may only have one open PC Optimum™ account at any given time.

To participate in the Program, you will need a Program device, such as a key tag, a plastic card, a mobile card available by downloading the PC Optimum™ app, a President's Choice Financial (“PC Financial®”) payment product (“PC Financial® Payment Product”), or any other device or technology that we may deem appropriate from time to time (each, a “Card”). To take advantage of personalized offers, you must load those offers onto your Account online, which can be accessed at www.pcoptimum.ca or through the PC Optimum™ app, or any other means that we may devise from time to time. In order to create an Account online, or to download the PC Optimum™ app, visit www.pcoptimum.ca or visit your applicable app store. The methods for participating in the Program may change from time to time.

3. Earning PC Optimum™ Points

There are several ways to earn PC Optimum™ points, as set out below.

  1. Personalized Offers: In order to receive personalized PC Optimum™ points offers, load your offers onto your Account online, and shop at a Participating Store or with Program Participants for the items featured in the offers OR complete a transaction described in an offer (for example, purchase more than a certain value of eligible items on a specific date to earn a specific number of PC Optimum™ points). If you do not load your personalized offers before you pay for your purchases, you will not be eligible to receive any PC Optimum™ points for such personalized offers. For more information as to how offers are personalized, please refer to our Privacy Policy at www.pcoptimum.ca.
  2. Promotional Offers: From time to time, PC Optimum™ points may be awarded to all Program members on the purchase of certain products or on achieving predetermined purchase amounts. You may use your Card to take advantage of these offers, including those advertised in-store or through flyers, without having to load such offers onto your Account prior to completing the purchase.
  3. Eligible Purchases at Participating Shoppers Drug Mart® Inc. Banners: PC Optimum™ points will be awarded at the rate of 15 PC Optimum™ points for each full dollar spent on each separate purchase of eligible products at participating Shoppers Drug Mart® Inc. banner locations and websites. PC Optimum™ points will be calculated with reference to the purchase price of eligible products, less applicable discounts and taxes as shown on each purchase receipt.
  4. PC Financial® Payment Product: To earn PC Optimum™ points with a PC Financial® Payment Product, please see “Earning and Redeeming PC Optimum™ points with a PC Financial® Payment Product” in section 6 below.

You are required to present your Card prior to payment in order to receive PC Optimum™ points. PC Optimum™ points will not be granted on previously-completed purchases where a valid Card was not presented prior to payment.

PC Optimum™ points, offers and other services and programs are offered by us, or other Program Participants, and may be offered to all Program members or any group of the Program members, as decided by us. Any offer may be time limited, and may contain additional terms and conditions, which will apply in addition to these Terms and Conditions. Each offer is only valid once, unless expressly stated otherwise in the terms of the offer. We may limit quantities of products on which a single Program member may earn PC Optimum™ points. For example, we may make an offer of additional PC Optimum™ points on the purchase of a particular product, and state that a Program member may only earn PC Optimum™ points for a single purchase of that product, or for a purchase of any other number we specify. Without limiting our right to cancel your account in accordance with these Terms and Conditions, if you earn PC Optimum™ points in a manner not permitted by these Terms and Conditions, we may deem, in our sole discretion, any such PC Optimum™ points to be invalid and cancel them, which will result in the removal of such PC Optimum™ points from your Account.

4. Redeeming PC Optimum™ Points

To “redeem” means to use your PC Optimum™ points to pay, or partially pay, for eligible purchases by using your Card at the point of sale in Participating Stores or with Program Participants that offer redemption, following the instructions provided by the cashier, the point-of-sale terminal or other payment processing device. You can redeem the PC Optimum™ points you earn for eligible purchases (see section 7 below for exclusions), or for any other purposes of which we may advise you from time to time.

PC Optimum™ points have no cash value and are not exchangeable for cash. Except as permitted from time to time by PCSI, PC Optimum™ points cannot be assigned, exchanged, purchased or given by gift. PC Optimum™ points cannot be sold, traded, bartered, rented or otherwise disposed of. PC Optimum™ points are void if sold for cash or any other consideration.

You must redeem a minimum of 10,000 PC Optimum™ points at a time, which are worth $10 in rewards at Participating Stores but not at certain Program Participants. If you want to redeem more than 10,000 PC Optimum™ points at one time, you must redeem them in increments of 10,000 PC Optimum™ points, each increment being worth $10 in rewards at Participating Stores but not at certain Program Participants. The value of PC Optimum™ points redeemed for purchases at Program Participants that offer redemption will be stated in redemption offers of the Program Participant. There may be additional terms and conditions that accompany such offers. Please refer to the Program Participants’ offer details.

For example, if the amount of your purchase eligible for redemption at a Participating Store is $37, you can redeem 30,000 PC Optimum™ points, and then pay the remaining $7 in cash or with an acceptable payment method. Alternatively, where permitted at the Participating Store point of sale, you can redeem 40,000 PC Optimum™ points, in which case the reduction off the purchase price will be $37 and the difference between the $40 maximum reward and the $37 reward (i.e., $3) will be forfeited. The number of points eligible for redemption is limited to the next closest 10,000 point threshold above the eligible purchase amount. For example, you would not be allowed to redeem 50,000 PC Optimum™ points for a purchase of $37. We may change the minimum redemption amount or redemption increments at any time, in accordance with these Terms and Conditions. You may not be able to redeem PC Optimum™ points for the payment of taxes at certain Participating Stores and Program Participants.

The maximum value of PC Optimum™ points that you can redeem in one transaction is $500.00, or such higher amount as may be set by us from time to time.

On occasion, we, or others acting with our permission, including Program Participants, may offer you redemption offers in certain stores or websites, or for particular products or services, such as an increase in the value of PC Optimum™ points or a lower minimum redemption amount. There may be additional applicable terms and conditions that accompany such offers.

PC Optimum™ points do not expire. However, we reserve the right to close your Account without notice if you do not earn or redeem any PC Optimum™ points at least once every 2 years, do not have an open PC Financial® Payment Product that is registered to your Account, or for any reason set out in these Terms and Conditions. You can contact us to request the reinstatement of the value of your PC Optimum™ points at the time your Account was closed, to be issued in a new Account that belongs to you.

5. Other Rewards and Offers

Occasionally, through specified offers provided by Participating Stores or Program Participants, or in accordance with the terms of use for a specified PC Financial® Payment Product, additional rewards, prizes or benefits may be awarded for using your Card (including the specified PC Financial® Payment Product), or for being a Program member. Any such offer may be time limited, and there may be additional applicable terms and conditions that apply to the offer.

Examples of rewards, prizes, or benefits that may be offered include instant savings, dollars off coupons, product offers, personalized pricing, and services offered by Participating Stores or Program Participants.

Program Participants may provide you with different earning and redemption offers. There may be additional terms and conditions that accompany such offers. Please refer to the Program Participants’ offer details.

6. Earning and Redeeming PC Optimum™ Points with a PC Financial® Payment Product

When you use a PC Financial® Payment Product (i.e., any account, payment card, device or technology that is issued under the PC Financial® brand that is eligible to participate in the Program) to pay for eligible purchases or to complete a qualifying transaction, you are eligible to earn PC Optimum™ points at the earning rates set out in the information you received with the PC Financial® Payment Product you hold. All PC Optimum™ points earned in connection with a PC Financial® Payment Product are awarded to the primary cardholder’s Account. Eligible purchases, transactions, and earning rates for any PC Financial® Payment Product may change from time to time in accordance with the applicable PC Financial® terms and conditions, subject to any required notice from the issuer of your PC Financial® Payment Product. For more information, including the earning rates and rounding rules related to PC Optimum™ points calculations when using a PC Financial® Payment Product, refer to www.pcfinancial.ca under the “Legal Stuff” section.

You can also earn PC Optimum™ points when you use a PC Financial® Payment Product to pay for products or other purchases offered to all Program members, including those advertised online, in-store or through flyers.

If you registered your PC Financial® Payment Product for the Program online, you may also earn additional PC Optimum™ points for personalized offers as described in section 3 “Earning PC Optimum™ Points”.

Your ability to earn or redeem PC Optimum™ points with a PC Financial® Payment Product may be limited in accordance with the terms and conditions applicable to your PC Financial® Payment Product. For instance, if your access to credit has been revoked, you may not be able to earn or redeem PC Optimum™ points with your PC Financial® Payment Product.

If you only use a PC Financial® Payment Product to participate in the Program, and you close all of your PC Financial® Payment Product accounts, you will lose access to the Program and any remaining PC Optimum™ points in your Account may be forfeited. If your PC Financial® Payment Product accounts are in good standing when they are closed, then you will have up to 45 days from the date that your last PC Financial® Payment Product is closed to:

  • redeem your accumulated PC Optimum™ points, or
  • continue to participate in the Program, by creating an Account using your PC Financial® Payment Product information (if you do not already have an Account) then add a new Card to your Account.

If you have not redeemed your PC Optimum™ points or added a new Card to your Account by the end of the 45-day period, you will no longer be able to access your Account and any remaining PC Optimum™ points in your Account may be forfeited. See section 4 about how you may reinstate any forfeited PC Optimum™ points after your Account is closed.

7. Earning and Redemption Exclusions

PC Optimum™ points cannot be earned or redeemed for any of the following: (i) the purchase of tobacco, lottery tickets, or alcohol, (ii) deposits (e.g., a water bottle deposit, as it is not a purchase), (iii) gift cards, prepaid card products and wireless or long distance phone cards, (iv) transit tickets and passes, event tickets and post office transactions; (v) passport photos, (vi) cash back, (vii) gifts with purchases, (viii) delivery charges (where applicable), (ix) purchases made through non-participating licensed merchants located within or adjacent to Participating Stores or Program Participants, (x) any other products or services that may not legally be offered in connection with the Program, including pharmacy-related transactions in certain provinces (see below for more information about pharmacy-related transactions), or (xi) any other products or services that we may specify from time to time or where prohibited by law. The Program may permit you from time to time to earn or redeem PC Optimum™ points in certain jurisdictions for some of the products and services listed above on a time-limited, promotional basis or otherwise, where permitted by law.

The laws applicable to the earning and redeeming of PC Optimum™ points on prescription, medication and other pharmacy or health care-related products and services vary in each province. Other limitations may be imposed by prescription plans. Please see your pharmacy at a Participating Store to learn whether PC Optimum™ points can be earned or redeemed on these types of products and services and whether any limitations or restrictions apply.

PC Optimum™ points are not earned on the portion of a transaction that is being paid for by redeeming PC Optimum™ points. PC Optimum™ points you earn upon making a purchase cannot be redeemed for that purchase and can only be redeemed for a subsequent eligible purchase.

The above exclusions on the earning of PC Optimum™ points may not apply to PC Optimum™ points earned through the use of a PC Financial® Payment Product. Please see the information you received with your PC Financial® Payment Product for more details.

8. Other Earning and Redemption Rules

In any one transaction, PC Optimum™ points may only be earned on a single Card, and may only be credited to a single Account. While you may not earn the same PC Optimum™ points multiple times in one transaction, some transactions may allow you to earn PC Optimum™ points in multiple ways. For example, when you use your PC Financial® Payment Product to purchase an item for which you have loaded a personalized offer, you will receive the PC Optimum™ points featured in the offer as well as PC Optimum™ points for using your PC Financial® Payment Product.

PC Optimum™ points may also be redeemed for purchases made through delivery services by Participating Stores provided that you inform the store at the time when the delivery order is placed that you wish to redeem a specified number of PC Optimum™ points and provide the store with your Card number. You may be asked to present your Card to the driver for validation at the time of delivery.

If you return a purchase, your Account balance may be reduced by the number of PC Optimum™ points earned for that purchase at our sole discretion. If a refund or correction is applied to your Account, your Account balance will be adjusted up or down by the number of PC Optimum™ points related to the refund or correction, as applicable, and your Account balance may become negative. If you use a PC Financial® Payment Product to pay for a purchase and subsequently return the purchase, the number of PC Optimum™ points deducted will be calculated based on the current earning rate of the PC Financial® Payment Product at the time of the return, which may be different from the rate at the time of the purchase. Upon the return or exchange of purchases earned through the redemption of PC Optimum™ points at Participating Stores and Program Participants, all redeemed PC Optimum™ points will be forfeited and the member will receive the value of the returned product in the form of a gift card.

Our records of the number of PC Optimum™ points earned, redeemed or deducted are deemed accurate. If you have a concern regarding your Account balance, you must contact us and provide relevant evidence within 45 days from the relevant transaction date to report any discrepancy. If we do not hear from you within 45 days, it means you agree with us about those PC Optimum™ points.

Occasionally, through specified offers by Participating Stores, other Program Participants or in accordance with the terms of usage of a PC Financial® Payment Product, you may be awarded additional PC Optimum™ points (or other rewards, prizes or benefits) for using a Card, a PC Financial® Payment Product or for being a Program member. These PC Optimum™ points may not always be recorded on your receipt at the time of the transaction, in which event they will be recorded at a later purchase transaction date.

The number of PC Optimum™ points displayed on your receipt at a Participating Store, or on any website, email, mobile app or by any other method, may not reflect your current PC Optimum™ points balance according to our records. To the extent permitted by law, we accept no liability for any errors in the PC Optimum™ points balance displayed on any website, email, mobile app or other method. If any PC Optimum™ points are awarded to your Account in error, we reserve the right to deduct the number of PC Optimum™ points awarded in error at any time and without notice to you. We are not obligated to honour a request to redeem PC Optimum™ points added to an Account in error. PC Optimum™ points will not be awarded if in our reasonable opinion the products purchased will be used for resale or commercial use and any PC Optimum™ points awarded on such purchases will be forfeited. We reserve the right to limit PC Optimum™ points awarded with respect to any offer to reasonable household quantities. If a Program member was awarded PC Optimum™ points for an offer in which a member purchased product in excess of reasonable household quantities, the PC Optimum™ points awarded as a result of that offer may be forfeited without prior notice.

We are not responsible for any errors that may occur in the sending or loading of offers or if there is a delay in sending or loading offers. We are not obligated to honour a request to earn or redeem PC Optimum™ points that were not earned or redeemed due to an error or delay in the sending or loading of offers.

If your Card is lost or stolen, contact us to turn off redemption capabilities for that Card. You are responsible for all redemptions on your Account, including any redemptions made on your Account before you turn off redemption capabilities on a Card that was lost or stolen, and all redemptions made on your Account as a result of unauthorized access to your Account, such as due to a failure to safeguard your password.

At the sole discretion of PCSI, you may be permitted to transfer your PC Optimum™ points to another Program member. Upon the death of a Program member, the member’s Account will be closed and any PC Optimum™ points in the Account will be forfeited. PC Optimum™ points are not divisible in the case of divorce or equalization of family property.

Should you choose to close your Account, you will have 45 days to redeem any PC Optimum™ points accumulated in your Account. Any PC Optimum™ points not redeemed after 45 days from the closure of your Account will be forfeited and removed from your Account. You may not be able to close your Account if you have a PC Financial® Payment Product that earns PC Optimum™ points.

You may donate your PC Optimum™ points to the President’s Choice® Children’s Charity or other charities that we may specify from time to time, through your Account online. Contact us for details.

9. Pooling Your PC Optimum™ Points Through a Household

A “Household” is a group of Program members having a personal or family relationship that agree to pool their PC Optimum™ points into a single balance for the purposes of both earning and redemption. Members can no longer join or form a Household; however, if you are already a member of an existing Household, you can continue to be part of that Household until you leave it. The only exception is for Members who are primary or additional cardholders on a PC Financial® Payment Product, who may join or form a Household exclusively with another primary or additional cardholder on the same PC Financial® Payment Product by following the prescribed steps in their PC Financial® online account.

A maximum of five PC Optimum™ members may be part of a single Household. An individual must have or create an online PC Optimum™ account and agree to join the Household. You can only be part of one Household at a time.

When you join a Household, all of the PC Optimum™ points in your Account are pooled with the points of all members of the Household. Any member of a Household may, at their sole discretion, redeem any or all of the PC Optimum™ points that are held by members of that Household, including points that were earned by other members of the Household. Each Household member is solely responsible for discussing the redemption of PC Optimum™ points with the other Household members. We accept no liability for any losses suffered by a Household member as a result of another Household member’s redemption of PC Optimum™ points.

When a member of a Household redeems PC Optimum™ points, points will be deducted from each Household member’s Account in proportion to their points balance. A Household member can use their online PC Optimum™ account to view the total balance of PC Optimum™ points that are available to Household members, as well as a history of point transactions, which may include total points earned, device used in transaction, location of transaction, date of transaction, total value of transaction, and offers for which points were redeemed or earned by Household members.

Once you invite someone and they accept your invitation to join a Household, that person cannot be removed from the Household. No member of a Household can remove any other member from the Household. At any point, you are free to leave the Household by logging into your online PC Optimum™ account and following the prescribed steps. If you decide to leave the Household, you will receive the points that remain in your Account as of the time that you leave. Once you’ve left a Household, you can continue using your Account as an individual.

If a Household member’s Account is suspended for any reason, the Accounts of all members of the Household will also be suspended. If for any reason you have problems with your Account, please contact us.

10. Privacy

The Loblaw Companies Limited (“LCL”) Privacy Policy (the “Privacy Policy”) applies to the Program, and is available at www.pcoptimum.ca or upon request. This Privacy Policy may be amended from time to time in accordance with its terms. By agreeing to these Terms and Conditions, you are also agreeing to the terms of the Privacy Policy and you undertake to review those terms, as such may be amended from time to time.

11. Changes to the Program

If you reside outside of Quebec:

We reserve the right to restrict, suspend or otherwise change any aspect, term or condition of the Program. We may modify all or one or more parts of these Terms and Conditions at any time, including, without limitation, the following elements:

  • The eligibility conditions for participating in the Program,
  • The manner in which a Program member participates in the Program,
  • The manner and rate at which PC Optimum™ points are earned, and
  • The manner and rate at which PC Optimum™ points are redeemed.

In the event the Terms and Conditions, or any aspect of the Program, is restricted, suspended or changed, we will provide you advance notice by posting the amended Terms and Conditions online at www.pcoptimum.ca, and by sending you notice using your email or mailing address. Your continued participation in the Program following such notice will constitute your consent to any amendments to these Terms and Conditions, or any other aspect of the Program. In the event that the amendment entails an increase in your obligations or a reduction in our obligations and you do not agree to such amendment, you may close your Account and cancel your participation in the Program without cost or penalty. You will then have 45 days to redeem any PC Optimum™ points in your Account. Any PC Optimum™ points that are not redeemed after 45 days will be forfeited. See section 4 about how you may reinstate any forfeited PC Optimum™ points after your Account is closed.

If you reside in Quebec:

We reserve the right to restrict, suspend or otherwise change any aspect, term or condition of the Program. We may modify all or one or more parts of these Terms and Conditions at any time, including, without limitation, the following elements:

  • The eligibility conditions for participating in the Program,
  • The manner in which a Program member participates in the Program,
  • The manner and rate at which PC Optimum™ points are earned, and
  • The manner and rate at which PC Optimum™ points are redeemed.

In the event the Terms and Conditions, or any aspect of the Program is restricted, suspended or changed, we will provide you notice at least 60 days before the amendment comes into effect. Such notice will be provided by posting the amended Terms and Conditions online at www.pcoptimum.ca, by sending you written notice using your email or mailing address (if you have provided us with such an address), and setting out the new clause, or the amended clause and how it read formerly, and the date on which the change will come into effect. Upon receipt of such notice, and if the amendment entails an increase in your obligations or a reduction in our obligations, you may refuse the amendment and rescind or cancel your participation in the Program without cost, penalty or cancellation indemnity, by sending us notice to that effect no later than 30 days after the amendment comes into force, at the address or email address indicated in the notice. You will then have 45 days to redeem any PC Optimum™ points in your Account. Any PC Optimum™ points that are not redeemed after 45 days will be forfeited. See section 4 about how you may reinstate any forfeited PC Optimum™ points after your Account is closed.

If you do not exercise your right to rescind or cancel your participation in the Program by sending us notice no later than 30 days after the amendment comes into force, your continued participation in the Program at any time after such 30-day delay has expired will constitute your consent to be bound by the amendment.

12. General

By participating in any aspect of the Program, you (and your parent or legal guardian on your behalf, as the case may be) agree to be bound by these Terms and Conditions. These Terms and Conditions may be amended from time to time and you should check www.pcoptimum.ca regularly for any updates.

These Terms and Conditions and any other Program information on www.pcoptimum.ca replace the terms and conditions of the PC Plus program and the Shoppers Optimum program.

Unauthorized reproduction of any Card is prohibited and can result in legal prosecution. All Cards belong to us and may be revoked at any time at our sole discretion.

You are responsible for protecting and keeping secure your Account and Cards on your Account and any password or security questions used in connection with your Account and Cards.

We reserve the right to terminate the Program, or any part of it, at any time on 45 days prior written notice (to be provided at Participating Stores, on our websites, or through other communications to Program members, including via email). If the Program is terminated, you will have up to 45 days after the effective termination date to redeem any PC Optimum™ points in your Account. After the expiry of the 45-day period, any PC Optimum™ points that have not been redeemed will be forfeited.

We reserve the right to sell or transfer all or part of the Program to a related company or to a third party, to merge with another entity or to engage in any form of corporate, reorganization or financing transaction. In addition, the manner in which the Program is provided to you and the organizations providing offers in connection with the Program may change. Please refer to our Privacy Policy at www.pcoptimum.ca for details as to how your personal information would be handled in such cases.

If any of the information you were required to submit when you registered for the Program changes (such as your name, mailing address, email address or phone number), you must let us know immediately and give us your current information. We are not responsible if we cannot contact you because you have not given us current, accurate information.

We reserve the right to refuse to allow you or any person you seek to add to your Account to join the Program for any reason in our sole discretion, including for not meeting the eligibility requirements or for having a membership cancelled previously.

We may, at any time, suspend or cancel your participation in the Program, if, in our view, you have abused any Program privilege, failed to follow these Terms and Conditions, or made any misrepresentation to us or to any entity associated with or participating in the Program. In the event that your participation in the Program is suspended, PC Optimum™ points in your Account that have been accumulated as a result of an abuse of a Program privilege, failure to follow these Terms and Conditions or a misrepresentation may also be forfeited and removed from your Account. In the event that your participation in the Program is cancelled, all accumulated PC Optimum™ points in your Account may also be forfeited and removed from your Account. If you reside in Quebec, you will be provided with a notice explaining the suspension or cancellation of your participation in the Program, as the case may be. 

To the extent permitted by law, by participating in the Program, you (and your parent or legal guardian on your behalf, as the case may be) agree to release and discharge us, our subsidiaries, LCL, and each of LCL’s other subsidiaries and its parent company, and any other third party that may from time to time participate in the Program (whether as a participant or in an administrative, operational or other capacity), and our, and each of their respective officers, directors, agents, representatives, successors and assigns, from any loss, liability, claim, demand, damage or expense asserted by any person or entity relating in any way to the Program, your participation in the Program or the redemption and use/misuse of any item obtained through the redemption of PC Optimum™ points or otherwise in connection with the Program.

We reserve the right to withdraw or temporarily change or suspend all or part of the Program in any way, in the event of a material error, omission, technical problem, computer virus or bugs, tampering, unauthorized intervention, fraud, technical failure or any other cause beyond our reasonable control that interferes with the proper conduct of any aspect of the Program as set out in these Terms and Conditions. Any attempt to deliberately damage any website or to undermine the legitimate operation of the Program in any way (as we may determine in our sole discretion) could be a violation of criminal or civil laws and should such an attempt be made, we reserve the right to seek remedies and damages to the fullest extent permitted by law.

Our failure to exercise any of our rights, powers or remedies in these Terms and Conditions or at law, or any delay in doing so, does not constitute a waiver of those rights, powers or remedies. The single or partial exercise of a right, power or remedy does not prevent its subsequent exercise or the exercise of any right, power or remedy.

Words in the singular form shall be construed to include the plural and vice versa, unless the context otherwise requires, and the word “including” means “including but not limited to”. Any dollar amounts referenced in connection with the Program or these Terms and Conditions are referenced in Canadian dollars.

Each of the provisions contained in these Terms and Conditions is distinct and severable and a declaration of invalidity or unenforceability of any such provision or part thereof by a court of competent jurisdiction will not affect the validity or enforceability of any other provision of these Terms and Conditions.

13. Governing Law and Dispute Resolution

These Terms and Conditions are governed by the laws of the province of Ontario and the federal laws applicable in Ontario, without reference to conflict of laws provisions. However, in respect of residents of Quebec, these Terms and Conditions are governed by the laws of the Province of Quebec and the federal laws applicable in Quebec.

NOTE: THE FOLLOWING PARAGRAPH DOES NOT APPLY IN THE PROVINCE OF QUEBEC.

You agree that the sole and exclusive forum and remedy for any and all disputes and claims that cannot be resolved informally and that relate in any way to or arise out of the Program, shall be final and binding arbitration, except to the extent that you have in any manner infringed upon or violated or threatened to infringe upon or violate any intellectual property right of LCL, its affiliates or subsidiaries or any third party, or any privacy or publicity rights, in which case you acknowledge that arbitration is not an adequate remedy at law and that injunctive or other appropriate relief may be sought by LCL, its affiliates or subsidiaries or the applicable third parties.
